What You Need to Know About Board Governance

Are you new to being a board member or just never got a good overview of what it means to serve on a board? Are you a seasoned board member who needs to help your newer board colleagues understand their role? This session gives insight into effectively performing the roles and responsibilities of a board member.

We will discuss basics of nonprofits, legal obligations, personal risk, and the concepts of governance from Governance as Leadership: Reframing the Work of Nonprofit Boards (Chait, Ryan & Taylor 2005) that provide a framework for more effective nonprofit governance.

By the end of the session participants will understand:

  • What federal and state laws require of a “fiduciary” responsible for the governance of a nonprofit organization
  • How to train your board to think and govern like leaders, not managers

This workshop is designed both for those who are new to boards as well as more experienced board members who want to shore up their knowledge and educate fellow board members. It is subsidized by the Secretary of State so admission is only $15 for all attendees!

Trainer Beth McCaw has been President & CEO of the Washington Women’s Foundation since 2014. In 2010, Beth retired from Stokes Lawrence, P.S., where she was a shareholder in the firm’s estate planning group. She currently serves on the Boards of Directors of YWCA USA, Bellevue LifeSpring and the Auction of Washington Wines. Beth obtained a Masters in Not-for-Profit Leadership from Seattle University and was recognized by The Best Lawyers in America® for her representation of nonprofit organizations.
